1.1 Eligibility: The Portal is intended for companies and organizations seeking to recruit candidates or seeking freelance services. By accessing or using the Portal, you represent and warrant that you have the legal authority to bind the company or organization to these Terms.
1.2 User Accounts: To access certain features of the Portal, you may need to create a user account. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to notify us immediately of any unauthorized access or use of your account.
1.3 User Responsibilities: When using the Portal, you agree to:
a). Provide accurate and up-to-date
information about your company or organization.
b). Comply with all applicable laws and
regulations.
c). Treat candidates,
freelancers and other
users with respect and refrain from engaging in any form of discrimination, harassment, or abusive
behaviour. (d) Use the Portal solely for its intended purpose and not for any unauthorized or
illegal
activities.
2.1 Accuracy: Companies are responsible for the accuracy and legality of the job postings they create on the Portal. We do not guarantee the accuracy, completeness, or suitability of any job postings, resumes, or other user-generated content.
2.2 Intellectual Property: By posting a job on the Portal, you grant us a worldwide, non-exclusive, royalty-free license to display and distribute the job posting.
2.3 Prohibited Content: You agree not to post any content that is unlawful, defamatory, infringing, misleading, or otherwise objectionable. We reserve the right to remove any content that violates these Terms or that we believe is inappropriate.
2.4 Project Details: You may post projects on the Portal, including project descriptions, requirements, deliverables, and budget. Ensure that your project postings accurately reflect your needs and expectations.
2.5 Selection and Engagement: You have the sole responsibility for selecting and engaging freelancers for your projects. You may review freelancer profiles, proposals, and portfolios to assess their suitability. The terms of engagement, including payment, deliverables, and timelines, will be agreed upon between you and the selected freelancer.
2.3 Payment and Disputes: It is your responsibility to make timely and fair payments to freelancers for their services. Any disputes or issues arising from the freelance engagement are solely between you and the freelancer. We are not liable for any payment disputes or non-performance by either party.
3.1 Application Process: Candidates may submit their resumes and other relevant information through the Portal for consideration by your company or organization. You agree to handle candidate information in accordance with applicable privacy laws and your own privacy policy.
3.2 Communication: You agree to communicate with candidates in a professional and respectful manner. You understand that candidates rely on the information provided in job postings and expect timely and accurate responses from your company or organization.
3.3 Professional Conduct: Maintain professionalism and integrity in your communications with freelancers and other users of the Portal. Be respectful, responsive, and honest in all interactions.
3.4 Timely Responses: Promptly respond to messages and proposals from freelancers. Timely communication is crucial for successful project collaborations.
3.5 Confidentiality: Respect the confidentiality of any proprietary or sensitive information shared by freelancers during project engagements. Obtain necessary permissions before sharing or using any confidential information.
4.1 Portal Ownership: The Portal and its contents, including but not limited to text, graphics, logos, and software, are owned by or licensed to the Company and are protected by intellectual property laws. You may not reproduce, modify, distribute, or otherwise use any materials from the Portal without our prior written consent.
4.2 Product Ownership: Freelancers retain the intellectual property rights to their work product, subject to any agreements made between you and the freelancer. The Company does not claim ownership over the work produced by freelancers using the Portal.
4.3 License Grant: By engaging a freelancer through the Portal, you are granted a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the freelancer's work solely for the purposes of the project
5.1 No Warranty: The Portal is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the Portal will be uninterrupted, error-free, or free of viruses or other harmful components.
5.2 Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Portal, even if we have been advised of the possibility of such damages.
6.1 Termination by Company: We reserve the right to terminate or suspend your access to the Portal at any time, without prior notice, for any reason or no reason.
6.2 Termination by User: You may terminate your use of the Portal by discontinuing your access and ceasing to use the services provided.
7.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts in Kenya
7.2 Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Portal and supersede any prior agreements or understandings.
7.3 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
